General Terms and Conditions
These terms outline the rules and guidelines for ordering, delivery, returns, payments, warranties, cancellations, and the use of our marketing materials. Please read them carefully to understand your rights and responsibilities when purchasing and promoting our products.
Orders
- There is no minimum order quantity.
- Orders can be placed via the B2B webshop or by email (log@ribcap.com).
- Within the B2B webshop, you will find orders, invoices, marketing, and more.
- If an ordered product is not in stock, it will automatically be registered as a backorder. You will be notified of this.
- Ribcap will confirm acceptance of each order in writing. No order is binding until it is confirmed by Ribcap.
Delivery
- Products that are in stock will be shipped within two business days.
- Shipping costs depend on the delivery country and the number of items ordered.
- Delivery can be made via drop shipping or directly to your warehouse.
- We are not liable for delays due to force majeure, such as natural disasters, strikes, or transportation issues.
- The reseller is responsible for all import duties, customs fees, and local taxes.
Returns
- Products can be returned to the Ribcap warehouse (Zwaarveld 34, 9220 Hamme, Belgium) and must be in good, unused condition.
- Once we receive and check the returned package, we will process the refund.
- Resellers are responsible for the cost of the return label.
Payment
- We require advance payment for first-time orders.
- Ribcap may, at its sole discretion, extend credit terms (e.g., Net 30) for future orders.
- Invoices are sent after delivery of the goods.
- All payments must be made in the currency and to the bank account specified on the Ribcap invoice.
- For large orders where some products are delivered later, the invoice will only include the products that have already been delivered.
- Late payments may incur interest and collection costs in accordance with applicable law.
Warranty & Defects
- Ribcap provides a two-year warranty on products, which covers manufacturing defects and is consistent with Ribcap’s standard warranty terms.
- The reseller shall handle warranty claims from end customers and liaise with Ribcap as necessary.
- If you receive a defective product, please email us at log@ribcap.com with your order number, a description of the problem, a photo of the defect, and the LOT number of the helmet.
- If the defect is due to manufacturing, Ribcap will replace the product free of charge.
- Damage caused by misuse, wear and tear, or external circumstances is not covered by the warranty.
Order Cancellation
- Orders can be canceled as long as the goods have not yet been shipped.
- Backorders can be canceled free of charge as long as the product has not been delivered.
- Partial deliveries can only be canceled for the undelivered portion.
Online Sales & Pricing Guidelines
- All prices are quoted in euros, Canadian dollars, U.S. dollars, or British pounds.
- We strive to ensure that prices and specifications are accurate, but errors may occur. Ribcap reserves the right to correct mistakes and update prices or specifications without prior notice.
- Resellers are not allowed to sell Ribcap products on online marketplaces, including Amazon, eBay, Walmart, and similar platforms.
- Resellers must use Ribcap’s marketing and product information in good faith and respect Ribcap’s minimum recommended sales price (MRSP) guidelines.
Use of Marketing Materials
- Resellers may use Ribcap’s official marketing materials (photos, videos, logos, descriptions) for commercial and promotional purposes, including websites, social media, newsletters, online stores, ads, and printed materials.
- Product images and marketing materials must not be modified, edited, or combined with misleading claims, inappropriate content, or materials that could damage our brand's reputation.
- Resellers may not register or use domain names, social media handles, or online accounts that include our brand name, trademarks, or product names without prior written permission. Any use that could cause confusion regarding our official brand is prohibited.
- Our trademarks, logos, and brand names may only be used to promote and sell our products, and they must not imply ownership, exclusivity, or endorsement beyond the partnership.
- We reserve the right to request the removal or modification of any marketing material that does not comply with these guidelines.
- Ribcap reserves the right to communicate publicly about the collaboration, including on its website, social media, and in press or storybuilding campaigns, provided such communication is accurate and not misleading.
Liability & Risk
- Ribcap is not liable for indirect or consequential damages, except in cases of gross negligence.
- Risk transfers to the buyer upon delivery.
Applicable Law & Jurisdiction
- These terms are governed by Belgian law.
- Any disputes arising under these terms will be subject to the competent courts of Belgium.
